Company Description
cmerce GmbH operates an online store specializing in the distribution of innovative everyday products, electronic accessories, and household goods under the brand name Swissgadget.ch.

The company and online store have been operating since 2019.

cmerce imports and distributes its products both through its own store and through various online marketplaces in Switzerland and Liechtenstein.

Products are sourced from various European countries.

cmerce also provides sourcing services to companies in Turkey and other European countries.

In addition to online retail sales, wholesale sales and product sourcing services are also offered.

cmerce GmbH in Switzerland also provides consulting services to other companies.

These services include marketing consulting, product research, design, and general sales and e-commerce consulting related to the operation of online stores.

Scope of Application
These General Terms and Conditions (GTC) apply to all commercial relations between cmerce GmbH (hereinafter referred to as “cmerce”) and its customers located in Switzerland and Liechtenstein.

A customer is any natural or legal person who maintains a commercial relationship with cmerce.

The GTC, delivery and payment terms, and data protection regulations may be amended from time to time.

By placing an order or concluding a contract, the customer confirms their full acceptance of these GTC.

If individual provisions of these General Terms and Conditions are held invalid or unenforceable, the validity of the remaining provisions remains unaffected.

Products and Information
cmerce provides information on products and services. Prices, product ranges, and specifications are subject to change without notice.

All information (product descriptions, images, dimensions, weights, specifications, etc.) is for guidance only and does not constitute a warranty or guarantee unless expressly stated otherwise.

cmerce strives to provide accurate, complete, and up-to-date information, but assumes no responsibility for its accuracy.

All offers are subject to change without notice and are non-binding. Availability and delivery times are subject to change at any time.

Prices
All prices are in Swiss Francs (CHF), including statutory VAT, any applicable advance recycling fees (ARF), and copyright taxes.

Unless otherwise stated, shipping costs are charged separately and are displayed during the ordering process.

Technical changes, errors, and misprints are reserved.

Consultancy and support services are not included in the sales prices.

Contract Conclusion
By placing an order, the customer submits a binding offer to conclude a contract.

The contract is concluded only by cmerce issuing a declaration of acceptance, for example, by sending an order confirmation (in the form of a shipping confirmation).

cmerce reserves the right to process orders only after full payment has been received.

If a product is unavailable, cmerce may withdraw from the contract, in whole or in part. In this case, all payments already made will be refunded.

Payment Options and Reservation of Title
The customer may choose one of the payment options specified during the ordering process.

cmerce may exclude certain payment methods or request prepayment without giving any justification.

In case of delay, a 5% annual interest rate and a reminder fee of up to CHF 20 per reminder may apply.

The delivered products remain the property of cmerce GmbH until full payment is received.

Delivery, Inspection Obligation, Defect Notification, and Returns

Deliveries are made by post or courier service to the specified delivery address.

With shipment, risk and title to the goods pass to the customer.

Standard delivery time: 2-5 business days (in some cases, up to 25 business days).

Incomplete information or late payments may extend the delivery time.

If the delivery is not accepted or cannot be delivered, Cmerce may terminate the contract after a reasonable period of time and collect the costs incurred.

The customer must inspect the goods immediately upon receipt and report any defects in writing without delay.

Returns must be the responsibility of the customer and must be returned in their original packaging, complete, and accompanied by the delivery note.

If no defect is found, Cmerce may invoice the customer for the costs incurred.

Upon dispatch, the risk and title of the goods pass to the customer.

Standard delivery time: 2-5 business days (up to 25 business days in exceptional cases).

Incomplete information or late payments may extend the delivery time.

If the delivery is not accepted or cannot be delivered, Cmerce may terminate the contract within a reasonable period and collect the costs incurred.

The customer must inspect the goods immediately upon receipt and report any defects in writing without delay.

Returns are the responsibility of the customer and must be returned in their original packaging, complete, and accompanied by the delivery note.

If no defect is found, Cmerce may invoice the customer for the costs incurred.

Right of Withdrawal

The customer has the right of withdrawal within 14 days from the date of receipt of the product. The right of withdrawal must be notified to cmerce in writing (email or letter).

After cancellation, the product must be returned within 14 days, in its original packaging, complete, and accompanied by proof of delivery.

The return shipping costs and risk are the responsibility of the customer.

The purchase price, less any loss in value, will be refunded within 20 days of receipt of the returned product.

The right of withdrawal does not apply to, among other things:

hygiene products or perishable products,

personalized products or products manufactured according to customer specifications,

digital content without a physical medium,

services fully performed before the withdrawal period expires.

Warranty
cmerce provides a two-year legal warranty for the delivered products, starting from the date of delivery.

The decision to repair, replace, or refund is at cmerce’s discretion.

Damage caused by improper use, normal wear and tear, external factors, and consumables (e.g., batteries, rechargeable batteries, etc.) are not covered by the warranty.

Liability
cmerce, to the fullest extent permitted by law, disclaims all liability for direct or indirect damages, consequential damages, lost profits, and personal injury or property damage.

Mandatory legal liability (e.g., in cases of intent or gross negligence) remains unaffected.

Data Protection
cmerce processes customer data solely for the purpose of fulfilling the contract and may use it for marketing purposes.

Data may be shared with service partners (e.g., logistics companies) for order processing.

Other Provisions
cmerce reserves the right to change these Terms and Conditions at any time without prior notice.

Swiss substantive law shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

Jurisdiction is Zug, to the extent permitted by law.
